Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you and ChopChop Inc. (“ChopChop,” “we,” “us,” “our”). They govern your access to and use of the ChopChop Eats mobile app, our website (if any), and related services (collectively, the “Service”).

By using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. What ChopChop Does

ChopChop provides a technology platform that helps customers (“Customers”) discover and order homemade meals from independent cooks and food sellers (“Cooks”). ChopChop is a marketplace and does not cook, prepare, package, or sell food. When you place an order, you are purchasing directly from a Cook.

2. Account and Eligibility

You must be able to form a legally binding contract to use the Service. You agree to provide accurate information and keep your account secure. You are responsible for all activity under your account.

We may suspend or terminate accounts that violate these Terms or create safety, fraud, or compliance risk.

3. Orders, Payments, Fees, and Taxes

When you place an order, you authorize payment using your selected payment method. Prices, delivery fees, service fees, tips (if applicable), and taxes may apply and will be shown before you confirm payment.

We may use third-party payment processors. Your payments may be subject to their terms in addition to ours.

4. Delivery

Delivery may be provided by the Cook, independent drivers, or third-party delivery partners depending on your area and your order. Delivery times are estimates. ChopChop does not guarantee delivery windows and is not responsible for delays caused by factors outside our control.

5. Food Safety, Ingredients, and Allergens

Food is prepared by independent Cooks. ChopChop does not verify ingredients, allergen statements, nutrition information, or food safety practices.

If you have food allergies or dietary restrictions, you are responsible for reviewing ingredient information and contacting the Cook before ordering. Meals may be prepared in kitchens that also handle common allergens.

To the maximum extent permitted by law, you accept the risks associated with ordering and consuming food prepared by third parties.

6. Cancellations, Refunds, and Disputes

Cancellation and refund eligibility may depend on the order status, Cook policies, and applicable law. If there is an issue with your order, contact our support team through the Service as soon as possible. We may, but are not required to, help facilitate communication or resolution between you and the Cook.

7. Acceptable Use

You agree not to:

  • Use the Service for illegal, harmful, or fraudulent activity.
  • Harass, threaten, or impersonate others.
  • Attempt to bypass fees by arranging transactions outside the Service.
  • Interfere with the Service, reverse engineer, scrape, or access systems without authorization.
  • Upload content that is unlawful, infringing, or violates privacy rights.

We can remove content, suspend accounts, or report conduct to authorities when appropriate.

8. User Content and Reviews

You may be able to submit reviews, photos, and other content (“User Content”). You own your User Content, but you grant ChopChop a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute it for operating and promoting the Service.

You agree not to post false, misleading, defamatory, or abusive reviews.

9. Intellectual Property

The Service, including its software, designs, and trademarks, is owned by ChopChop or its licensors and is protected by law. You may not copy, modify, distribute, or create derivative works from the Service except as allowed by these Terms.

10. Third-Party Services and Links

The Service may integrate third-party tools (payments, maps, delivery, analytics) or link to third-party sites. ChopChop is not responsible for third-party services, content, or policies.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, ChopChop disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

12. Limitation of Liability

To the maximum extent permitted by law, ChopChop will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill.

To the maximum extent permitted by law, ChopChop’s total liability for any claim will not exceed the greater of (a) the amount you paid to ChopChop (service fees only, excluding food and taxes) in the prior 6 months, or (b) $100.

Some jurisdictions do not allow certain limitations. In that case, the limitation applies to the fullest extent allowed.

13. Indemnity

You agree to indemnify and hold harmless ChopChop and its affiliates, officers, employees, and agents from claims arising out of your use of the Service, your User Content, your violation of these Terms, or your violation of any law or third-party rights.

14. Arbitration and Class Action Waiver (US)

Please read carefully. This affects your legal rights.

Except where prohibited by law, any dispute arising from these Terms or the Service will be resolved by binding individual arbitration, not in court. You agree you will not bring or participate in a class action, class arbitration, or representative action.

If you want an opt-out option, add this: You may opt out of arbitration by emailing legal@chopchopeats.com within 30 days of first accepting these Terms, with your name, email, and a clear statement that you opt out.

You should confirm the arbitration provider, location, and rules with counsel before publishing.

15. Termination

You may stop using the Service at any time. We may suspend or terminate access at any time for safety, fraud prevention, compliance, or Terms violations.

16. Changes to These Terms

We may update these Terms from time to time. We will update the “Last Updated” date. Continued use after changes means you accept the updated Terms.

17. Governing Law

These Terms are governed by the laws of [Insert State], without regard to conflict of laws rules, except where arbitration rules or consumer laws require otherwise.
